Between Afrihelps LLC (a Georgia limited liability company) and the Provider identified at registration. This Marketplace Agreement governs the use of the Afrihelps platform, website, mobile application, and related services (collectively, the “Marketplace”). By accessing or using the Marketplace, Consumers and Service Providers (collectively, “Users”) agree to be bound by this Agreement. If you do not agree to this Agreement, you may not use the Marketplace.
1. Definitions
- “Afrihelps” refers to the digital platform operated by Afrihelps LLC, providing a directory and connection service for Consumers seeking service providers within the African and diaspora community.
- “Marketplace” refers to the Afrihelps website, mobile application, and all related digital services.
- “Service Provider” refers to any individual or business offering services through the Marketplace.
- “Consumer” refers to any individual using the Marketplace to search for, contact, or engage Service Providers.
- “User” refers to any person accessing or using the Marketplace, including both Consumers and Service Providers.
2. Purpose of the Marketplace
Afrihelps provides a culturally focused digital directory that enables Consumers to discover, contact, and engage Service Providers. Afrihelps is not a service provider, employer, agent, or representative of any Service Provider.
Afrihelps does not participate in, supervise, or guarantee any transactions between Consumers and Service Providers.
3. Eligibility
To use the Marketplace, Users must:
- Be at least 18 years old
- Provide accurate information
- Comply with all applicable laws
- Not impersonate any person or entity
4. Service Provider verification
4.1 Identity verification (government-issued ID only). To reduce fraud and confirm basic identity authenticity, Afrihelps requires Service Providers to submit a valid government-issued identification document (such as a driver’s licence, passport, or national ID). This verification is solely intended to confirm that the individual is a real person.
4.2 No background checks at this time. Afrihelps does not currently conduct:
- Criminal background checks
- Professional background checks
- Employment verification
- Education verification
- License or certification verification
- Any other form of comprehensive vetting
4.3 Reservation of rights to implement background checks
Afrihelps reserves the right, in its sole discretion, to introduce background checks or additional verification procedures in the future as the Marketplace grows, traffic increases, or business activity becomes more frequent. If Afrihelps elects to implement such procedures, Service Providers will receive at least thirty (30) days’ advance notice, updated terms will be posted on the Marketplace, and continued use after the effective date will constitute acceptance of the updated terms.
4.4 Consumer responsibility. Consumers acknowledge and agree that Afrihelps’ current identity-only verification does not guarantee the safety, qualifications, legitimacy, or trustworthiness of any Service Provider. Consumers are solely responsible for evaluating Service Providers and conducting any additional checks they deem necessary.
5. Fees and future fees
5.1 No fees at this time. Afrihelps currently provides access to the Marketplace at no cost to Consumers and Service Providers.
5.2 Reservation of rights to introduce fees. Afrihelps may, in its sole discretion, introduce fees in the future, including but not limited to subscription fees, listing fees, booking fees, convenience fees, premium feature fees, transaction-based fees, and other fees. Users will receive at least thirty (30) days’ notice before any fees take effect.
5.3 No guarantee of free access. Users acknowledge that current free access does not guarantee free access in perpetuity.
6. User conduct
Users agree not to:
- Provide false or misleading information
- Engage in fraud, harassment, or abusive behaviour
- Post unlawful, harmful, or discriminatory content
- Attempt to circumvent identity verification
- Interfere with Marketplace operations
- Misuse Afrihelps branding or intellectual property
7. Relationship between Users and Afrihelps
7.1 No agency relationship. Afrihelps is not a party to any agreements between Consumers and Service Providers.
7.2 No guarantees. Afrihelps does not guarantee the quality of services, the accuracy of Service Provider information, the availability of any Service Provider, or the outcome of any engagement.
8. Intellectual property
All Afrihelps trademarks, logos, branding, content, and platform features are the exclusive property of Afrihelps LLC. Users may not copy, reproduce, or distribute any part of the Marketplace without written permission.
9. Privacy
Use of the Marketplace is subject to the Afrihelps Privacy Policy. By using the Marketplace, Users consent to the collection and use of information as described in the Privacy Policy.
10. Disclaimers
The Marketplace is provided “as is” and “as available.” Afrihelps disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of listings, and safety of interactions. Afrihelps does not guarantee uninterrupted or error-free operation.
11. Limitation of liability
To the fullest extent permitted by law:
- Afrihelps is not liable for any damages arising from interactions between Consumers and Service Providers.
- Afrihelps is not liable for any injury, loss, fraud, misconduct, or disputes arising from services rendered.
- Afrihelps’ total liability shall not exceed $100 USD or the amount paid by the User in the past twelve (12) months, whichever is greater.
12. Indemnification and liability
Users agree to indemnify and hold harmless Afrihelps from any claims, damages, losses, liabilities, or expenses arising from User content, User conduct, User interactions with other Users, or violations of this Agreement.
13. Modifications to Agreement
Afrihelps may update or modify this Agreement at any time. Users will be notified of material changes. Continued use of the Marketplace constitutes acceptance of the revised Agreement.
14. Suspension and termination
Afrihelps may suspend or terminate a Provider’s listing for a failed or disqualifying background check under Section 2, violation of this Agreement, fraud, or a sustained lead-dispute rate above Afrihelps’ internal threshold. Provider may deactivate its listing at any time; fees already incurred under Section 3 are handled per the refund terms stated there.
Users may discontinue use at any time.
15. Governing law
This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute between Provider and Afrihelps arising out of or relating to this Agreement is subject to the arbitration provision, class action waiver, opt-out right, and Fulton County, Georgia venue for non-arbitrable claims set out in Section 11 of the Afrihelps Terms of Service, which is incorporated into this Agreement by reference.
